Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the M Network website at m.network (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Who We Are

M Network is a full-service branding and marketing agency located in Miami, Florida. We provide branding strategy, marketing, video production, design, digital and web services, content creation, podcast production, public relations, crisis communications, media buying, social media management, event coordination, and related services.

2. Eligibility

You must be at least 18 years of age to use this Site independently or to place an order through our online store. If you are between 13 and 17 years of age, you may use the Site only with the active involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf. Use of the Site by anyone under 13 is prohibited.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Site in any way that violates applicable federal, state, or local law or regulation
Transmit unsolicited or unauthorized advertising or promotional material (spam)
Attempt to gain unauthorized access to any portion of the Site or its underlying systems
Interfere with, disrupt, or place undue burden on the Site or its servers
Use automated tools to scrape, harvest, or collect data from the Site
Impersonate any person or entity or misrepresent your affiliation with any person or entity

4. Agency Services

A. Scope of Services

M Network provides professional services including branding, marketing strategy, video production, design, web development, content creation, podcast production, public relations, crisis communications, media buying, social media management, event coordination, and related services (“Services”). All Services are provided pursuant to a separate written agreement, proposal, or statement of work (“Agreement”) entered into by M Network and the client. These Terms govern your general use of the Site; the applicable Agreement governs the specific Services provided to you.

B. Proposals and Intellectual Property in Work Product

All proposals, strategic concepts, creative briefs, designs, copy, and other work product submitted to prospective or current clients remain the sole and exclusive property of M Network unless and until a written Agreement expressly provides otherwise. Submission of a proposal does not grant any license or right to use its contents.

Upon full receipt of payment for completed Services under an applicable Agreement, M Network will grant the client ownership of or a license to specific deliverables as set forth in that Agreement. Rights not expressly granted remain with M Network.

C. Fees and Payment

Service fees, retainer amounts, deposit requirements, milestone schedules, and invoice terms are set forth in individual Agreements. Invoices are due as specified in the applicable Agreement. M Network reserves the right to suspend or cease work on any project where amounts are overdue and to pursue all available remedies for unpaid amounts.

D. Confidentiality

Each party agrees to hold in strict confidence any non-public, proprietary, or confidential information disclosed by the other party in connection with Services (“Confidential Information”), and not to disclose it to any third party without prior written consent. Confidential Information does not include information that (a) is or becomes publicly available through no breach of this provision, (b) was already known to the receiving party at the time of disclosure, (c) is independently developed by the receiving party without reference to the Confidential Information, or (d) is received from a third party without restriction.

5. Online Store

A. Products and Orders

M Network operates an online store selling branded merchandise, apparel, accessories, and related products. By placing an order, you make an offer to purchase the product at the stated price and terms. We reserve the right to accept or decline any order at our sole discretion. An order is confirmed only when you receive an order confirmation from us.

B. Pricing and Errors

We make every reasonable effort to display accurate product descriptions and prices. If a pricing or description error is identified after you place an order, we will contact you to notify you of the error and offer you the choice to confirm the order at the correct price or cancel it for a full refund. We are not obligated to fulfill orders at incorrect prices.

C. Payment

All store purchases are processed securely through our third-party payment processor. By providing your payment information, you represent and warrant that you are authorized to use the payment method provided. M Network does not store full credit or debit card numbers on its servers.

D. Shipping and Delivery

We ship orders to addresses within the United States. Estimated delivery times provided at checkout are estimates only; actual delivery times depend on carrier performance and may vary. Risk of loss and title for purchased products pass to you upon delivery to the carrier. We are not responsible for delays or losses caused by the carrier once a shipment has been tendered.

E. Returns and Refunds

We want you to be satisfied with your purchase. We accept returns of unused, unworn items in original condition and original packaging within 30 days of the delivery date. Items that are customized, made to order, or marked as final sale at the time of purchase are not eligible for return.

To initiate a return, contact us at m@m.network before sending anything back. We will provide return instructions. Return shipping costs are the customer’s responsibility except where the return is required due to our error or a product defect, in which case we will provide a prepaid return label.

Refunds are issued to the original payment method within 10 business days of our receipt and inspection of the returned item.

6. Intellectual Property

All content on the Site — including text, graphics, logos, images, photographs, video, audio, podcast content, and software — is the property of M Network or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, publicly display, modify, create derivative works of, or commercially exploit any content from this Site without our prior written permission.

The name “M Network,” our logo, and all related marks are proprietary to M Network. Nothing in these Terms grants you any right to use our trademarks, trade names, or service marks.

7. User Submissions

If you submit content to us — whether through the contact form, by email, or in connection with a service engagement — you grant M Network a non-exclusive, royalty-free, worldwide license to use, reproduce, and process that content for the purpose of responding to your inquiry or delivering the requested services. You represent and warrant that you have all rights necessary to grant this license and that your submission does not infringe any third-party intellectual property rights, violate any law, or contain defamatory, offensive, or harmful material.

8. Third-Party Links and Embedded Content

The Site contains links to third-party websites (including our social media profiles) and embeds third-party content, including YouTube video players. These are provided for your convenience only. M Network has no control over, and assumes no responsibility for, the content, accuracy, privacy practices, or availability of any third-party site or service. Accessing third-party content or following links to third-party sites is entirely at your own risk and subject to the terms and privacy policies of those third parties.

9. Disclaimers

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS ON IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. M NETWORK DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE AT ALL TIMES, UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

FOR PHYSICAL PRODUCTS SOLD THROUGH OUR ONLINE STORE, WE WARRANT THAT PRODUCTS WILL MATERIALLY CONFORM TO THEIR POSTED DESCRIPTIONS AT THE TIME OF PURCHASE. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL OTHER WARRANTIES RELATING TO PRODUCTS, EXPRESS OR IMPLIED, ARE DISCLAIMED. SOME JURISDICTIONS DO NOT PERMIT THE DISCLAIMER OF IMPLIED WARRANTIES ON CONSUMER GOODS; IN THOSE JURISDICTIONS, THIS DISCLAIMER APPLIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, M NETWORK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF — OR INABILITY TO USE — THE SITE, ANY SERVICES, OR ANY PRODUCTS PURCHASED THROUGH OUR STORE, EVEN IF M NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, ANY SERVICES, OR ANY PRODUCT PURCHASE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID M NETWORK IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT PERMIT LIMITATIONS ON LIABILITY FOR PERSONAL INJURY OR CONSUMER CLAIMS; IN THOSE JURISDICTIONS, THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law provisions.

We encourage you to contact us at m@m.network first if you have a concern — we would rather resolve issues directly and quickly. If informal resolution is not possible, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you hereby consent to personal jurisdiction and venue in those courts.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, services, or applicable law. When we do, we will revise the “Effective Date” at the top of this page. Your continued use of the Site after an update is posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, available at m.network/privacy-policy, which is incorporated into these Terms by reference.

14. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any written Agreement governing specific Services, constitute the entire agreement between you and M Network with respect to your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written.
